Master Services Agreement

Corgage provides a hosted AI data-analysis workspace: file ingestion and analysis, statistical summaries, visualizations, predictive modeling, report and presentation generation, and an AI assistant. The service is delivered as software-as-a-service; no software is installed on customer premises.

Subscriptions are purchased at the published monthly plan rates and renew automatically unless cancelled. Plan upgrades take effect immediately with the new plan's allowance; downgrades and cancellations take effect at the end of the current billing period.

We target high availability but do not guarantee uninterrupted service. Scheduled maintenance will be announced where practical. Support is provided via info@corgage.com during business hours; we aim to respond within one business day.

Customer is responsible for the lawfulness, accuracy, and quality of data uploaded, for maintaining the confidentiality of account credentials, and for ensuring its users comply with the acceptable-use rules in the Terms of Service.

Where customer uploads personal data, the Corgage Data Processing Agreement (/dpa) applies and is incorporated by reference. Customer acts as controller; Corgage acts as processor.

Each party warrants it has the authority to enter this agreement. Corgage warrants it will provide the service in a professional manner consistent with industry standards.

Except as stated, the service is provided as-is; AI-generated analyses are decision-support outputs and do not constitute professional, financial, or legal advice.

Customer will indemnify Corgage against claims arising from customer's uploaded data or its use of outputs in violation of law. Corgage will indemnify customer against third-party claims that the service itself infringes intellectual-property rights, provided customer gives prompt notice and reasonable cooperation.

Neither party is liable for indirect or consequential damages. Corgage's aggregate liability under this MSA is capped at the amounts paid by customer in the 12 months preceding the event giving rise to the claim.

This MSA remains in effect while the customer's subscription is active. Either party may terminate for material breach uncured within 30 days of written notice. On termination, customer may export its reports before account closure.

This MSA, the Terms of Service, the Privacy Policy, and the DPA constitute the entire agreement. Neither party may assign it without the other's consent, except to an affiliate or in connection with a merger or sale of substantially all assets.
